Terms of Service

Introduction

These Terms of Service ("Terms") govern your participation in the PHV Solutions Affiliate Program ("Program"), operated by PHV Solutions d.o.o., a company registered in Croatia, Zagreb ("we", "us", "Company").

The Program allows approved affiliates ("you", "Affiliate") to earn commissions by referring customers to our platforms: CreaticoAI (creaticoai.com) and Lumina Events (lumina-events.net).

By applying to or participating in the Program, you agree to be bound by these Terms. If you do not agree, do not apply or continue participating. These Terms form a legally binding agreement between you and PHV Solutions d.o.o.

Eligibility & Enrollment

To participate in the Program you must:

• Be at least 18 years of age
• Have a valid website, social media presence, newsletter, or other promotional channel
• Not be an employee, contractor, or direct family member of an employee of PHV Solutions d.o.o.
• Agree to these Terms and our Privacy Policy
• Complete the affiliate application via our Refersion registration page

We reserve the right to approve or reject any application at our sole discretion, without obligation to provide reasons. Approval is not guaranteed and we may limit or close enrollment at any time.

You must keep your account information accurate and up to date. Providing false information during enrollment may result in immediate termination and forfeiture of any unpaid commissions.

Commission Structure & Payments

Approved affiliates earn commissions according to the following structure:

Payment Terms

• Commissions are paid monthly, on or around the 15th of each month for the previous calendar month's confirmed earnings
• Minimum payout threshold: €50. Earnings below this threshold carry over to the next month
• Payments are processed via PayPal or SEPA bank transfer. You must provide valid payment details in your Refersion dashboard
• Commissions are only paid on confirmed, non-refunded transactions. If a referred customer requests a refund, the corresponding commission will be reversed
• We reserve the right to withhold payment pending fraud investigation

Recurring Commissions

For CreaticoAI subscriptions, recurring commissions are paid for as long as the referred customer maintains an active paid subscription and your affiliate account remains in good standing. Recurring commissions cease if the customer cancels, downgrades to a free plan (if available), or if your affiliate account is terminated.

Tracking & Attribution

All referrals are tracked via Refersion, our affiliate management platform. When a visitor clicks your unique affiliate link, a tracking cookie is set on their browser with a 60-day attribution window.

• Attribution uses a last-click model — if a visitor clicks multiple affiliate links, the most recent click receives the commission
• We are not responsible for lost commissions caused by users blocking cookies, using private browsing, or clearing browser data
• Self-referrals (purchasing through your own affiliate link) are strictly prohibited and will result in commission reversal and possible account termination
• Commissions are reported in real time in your Refersion dashboard but are subject to a 30-day hold period before becoming eligible for payout, to allow for refund windows

Promotion Guidelines

You are encouraged to promote our products authentically through your own channels. You must:

• Clearly disclose your affiliate relationship in accordance with applicable advertising regulations (e.g. FTC guidelines, EU Directive 2005/29/EC on unfair commercial practices)
• Use only approved brand assets provided in your Refersion dashboard or upon request
• Represent our products accurately and not make false or misleading claims about features, pricing, or results
• Not create content that could damage the reputation of PHV Solutions, CreaticoAI, or Lumina Events

You may use your own unique promo codes where provided. You may not offer additional discounts or incentives beyond those officially authorised by us.

Prohibited Activities

The following activities are strictly prohibited and will result in immediate termination and forfeiture of all pending commissions:

• Bidding on our brand keywords (e.g. "CreaticoAI", "Lumina Events") in paid search advertising without prior written consent
• Using spam, unsolicited email, or deceptive tactics to drive traffic
• Creating fake reviews, fake testimonials, or misleading comparisons
• Cookie stuffing or any form of artificial cookie injection
• Purchasing traffic through incentivised click networks or bot traffic
• Creating websites or social profiles that impersonate PHV Solutions or our products
• Self-referrals or referring employees, family members, or associates to receive commissions
• Sharing or selling your affiliate tracking links to third parties

Intellectual Property

PHV Solutions grants you a limited, non-exclusive, non-transferable, revocable licence to use our approved logos, brand assets, and product screenshots solely for the purpose of promoting our products as part of the Program.

You may not modify, alter, or create derivative works of our brand assets. All intellectual property rights in our brands, platforms, and content remain the exclusive property of PHV Solutions d.o.o. This licence terminates automatically upon the end of your participation in the Program.

Termination

Either party may terminate participation in the Program at any time, for any reason, with or without notice.

We may terminate your account immediately, without notice, if we determine at our sole discretion that you have violated these Terms, engaged in fraudulent activity, or acted in a manner harmful to our business or reputation.

Upon termination:

• Your affiliate links will be deactivated
• Any commissions already confirmed and past the hold period will be paid on the next regular payment date, provided the minimum threshold is met
• Commissions under investigation for fraud will be withheld and may be forfeited
• You must immediately cease use of all PHV Solutions brand assets

Limitation of Liability

To the maximum extent permitted by applicable law, PHV Solutions d.o.o. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the Program, including but not limited to loss of anticipated commissions, loss of business, or loss of data.

Our total liability to you in connection with the Program shall not exceed the total commissions paid to you in the three months immediately preceding the event giving rise to the claim.

We do not guarantee any specific level of earnings, traffic, or conversion rates. Commission projections shown on our affiliate page are illustrative estimates only.

Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify active affiliates via email to the address registered in Refersion and update the "Last updated" date on this page.

Your continued participation in the Program following notification of changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must discontinue participation and notify us at info@phv-solutions.com.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Croatia. Any disputes arising from or relating to these Terms or the Program shall be subject to the exclusive jurisdiction of the competent courts in Zagreb, Croatia.

If you are located in the European Union, you also have the right to refer a dispute to your local consumer protection authority or to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
